Learn more about Lumen’s network, edge cloud, security and communication and collaboration solutions and our purpose to further human progress through technology at, LinkedIn: /lumentechnologies, Twitter: @lumentechco, Facebook: /lumentechnologies, Instagram: @lumentechnologies and YouTube: /lumentechnologies.The Role The ideal candidate is a significantly experienced corporate paralegal who is inquisitive, detail oriented, and thrives while working in a fast-paced, high-performing and collaborative environment.  The Main Responsibilities Ownership of and responsibility for planning, preparation, and coordination of corporate books and resolutions for the statutory filings.Work closely with internal functions (tax, finance and other members in legal teams) to coordinate execution of monthly inter-company settlement agreements, including inserting, reviewing or correcting company details and company signatories contained in draft legal agreements.Involvement in corporate restructuring, recapitalisation, dividends and board resolutions. Maintain up to date BOD across all legal entities in region and handle changes involving resignations and appointments.Regularly update records of companies in HCue.Be main point of contact to coordinate requirements with external Notary for corporate documents as required.Work closely with internal clients (tax, finance and group legal team) on ad hoc projects.Arranging client board and shareholder meetings.Provide support to the Tax and Finance Teams for corporate restructurings and intracompany transactions.Preparing quarterly and annual reports with Finance team.Maintaining the statutory records of corporate entitiesEnsuring the timely statutory filings on behalf of corporate entitiesAttending board meetings, taking minutes and advising on corporate governance.Support the company with special projects such as corporate reorganisations, company law advice and helping clients maintain their corporate records.Proven ability to work with board of directors, including independent directors and other key intra-company projects and initiatives.Assist with, obtain and distribute notarizations, apostilles, legalized documents, certified copies, corporate filings and other corporate documents as needed.Work with other members of the legal team as well as other company functional departments on special projects and initiatives.What We Look For in a Candidate A qualified paralegal / experienced company secretary with significant in-depth company secretarial technical knowledge and experience willing to work with a Global company of substantial size and complexity. Ability to build and maintain positive working relationships with internal functions around the globe as well as external vendors. Collaborate with cross-functional teams, including Finance, Tax, and HR.Comfortable communicating with senior executives and Board members.Exceptional organizational skills, strong written and verbal communicator with integrity and good judgment.Ability to maintain a positive attitude while working within a fast-paced work environment with shifting priorities. Flexible and willing to work atypical hours as necessary for purposes of meeting deadlines.
