Job TitleLegal Counsel Job Description mGwk This varied role will involve working on legal, regulatory and compliance matters in Pacific Life Re's (PL Re) Division (which is the corporate centre of the PL Re) and PL Re's Retro Business Unit (Retro) which specialises in retrocession. This role would be ideal for someone looking for variety, interaction with a broad range of stakeholders and the ability to manage their work and time autonomously. We are ideally seeking a 2-5 years PQE lawyer, perhaps looking for their first step out of private practice and into industry. As Legal Counsel you would report into the Head of Legal & GFS, Division with a dotted reporting line to the Head of Legal, Retro. Both teams are continuing to work flexibly and the general guide is for team members to work from the office one day per week increasing to 2 later in the year. The Team The Division Legal team is currently all based in London while the Retro Legal team are based in Canada. We are currently seeking to recruit a Legal Counsel to join both of these teams and be based in London. You will work with people from across the business and at all levels - there is plenty of variety, opportunity for autonomous working and no two days are the same! The Division team is also the legal point of contact for all Division wide matters, those relating to our Bermudan entities (where PL Re is now headquartered) and main Division service company in the UK. In practice, this means advising on all manner of queries; internal intra-group arrangements, arrangements with key suppliers or ad-hoc legal questions. The Division legal team are also involved on advising on PL Re's Global Funded Solutions (GFS) business. The Division team are supported by external counsel for Bermuda legal, regulatory and compliance matters. For Retro work, this role will be embedded in the business and plays a key role in reviewing, negotiating and drafting retrocession documentation (alongside the Retro Senior Treaty Analyst) and other non-retrocession contracts alongside the business leads. This involves plenty of interaction with both internal stakeholders as well as external commercial and legal teams. Duties: Drafting, negotiating and advising on a range of commercial contracts (including confidentiality agreements, services contracts and IT licences Preparing internal risk transfer documentation Supporting company secretarial team with board communications and approvals for UK and Bermuda entities Supporting the GFS business teams with the drafting and negotiation of GFS transactions and participating in meetings with business leads Supporting the Retro business teams with the drafting and negotiation of retrocession agreements- this will involve participating in meetings with business leads and working with Senior Treaty Analyst; Problem-solving a diverse range of requests from across the business on legal, regulatory and compliance matters, particularly from other departments such as HR and Finance Distillation of legal issues from multiple BUs for consumption in internal/ governance updates and briefings Contributing to compliance committee meetings with senior management, identifying and taking ownership of compliance issues relevant to PL Re and supporting DPO on privacy matters Supporting the Division legal team on Division-wide matters and coordination of activities across PL Re's BUs Supporting interactions with regulators and other authorities, particularly in Bermuda, and the UK Supporting cross-departmental teams on a range of internal PL Re projects including liaising with legal department with our parent group in the US, Pacific Life Updating governance documents following PL Re's restructuring Skills/Experience Qualified Solicitor General contract and commercial law experience including negotiation of contracts (Re)insurance and/or financial services experience (advantageous) Experience of reviewing and negotiating software licences (advantageous) Familiarity with financial regulation and compliance (e.g. OSFI, PRA, FCA and/or BMA) (advantageous) Resourceful and flexible, with an ability to think strategically and commercially An effective and confident communicator, both with internal and external stakeholders Collaborative and able to build excellent working relationships across the business Organised, conscientious and able to prioritise multiple matters effectively Able to identify legal issues and risks, escalating to senior management as appropriate Willing to respectfully challenge others' ideas and proposals and an ability to accept the same in return Working For Pacific Life Re Every person in our global team is valued for the unique qualities they bring to our business and we seek to build their expertise and support their individual ambitions at every step.
